Terms of Service

These Terms of Service govern your use of the Namelli mobile app and the associated website namelli.com. By registering, you confirm that you have read these Terms and agree to be bound by them.

1. Scope and Provider

The provider of the app is the entity identified in the Legal Notice (referred to below as "we" or "us"). These Terms govern the relationship between you as a user and us. Any conflicting or supplementary terms you may impose do not form part of the contract.

2. Description of Service

Namelli is a collaborative app for finding baby names within couples and families. You can create or join sessions, rate individual first names using a swipe mechanism, and discover matches with other members of the same session. The app is provided "as is" in its current feature set; there is no entitlement to specific features or uninterrupted availability.

3. Contract Formation and Minimum Age

The service contract is formed upon your first successful sign-in via "Sign in with Apple". You must be at least 16 years old. By signing up you confirm that you meet this requirement.

4. Fees

Namelli is currently free to use in its full feature set. There are no paid add-ons, in-app purchases or subscriptions. Should paid features be introduced in the future, they will require your explicit consent before each purchase.

5. User Obligations and Prohibited Conduct

When using Namelli you must not:

  • use another person's identity or Apple ID;
  • insult, harass or deceive other members;
  • submit content that is unlawful or infringes third-party rights (including defamatory content, hate speech, protected trademarks or copyrights);
  • reverse-engineer, tamper with or circumvent any security measures of the app;
  • deploy automated scripts or bots against the app.

In the event of a violation, we may suspend your account temporarily or delete it permanently.

No tolerance for objectionable content.We do not tolerate any abusive, discriminatory, sexually explicit or otherwise objectionable content — neither in session titles, display names, blocked-name lists, notes nor in any other user-generated input. Violations result in immediate account suspension. You can report objectionable content or members at any time using the in-app “Report” function; we respond within 24 hours (in line with the Apple App Store Review Guideline 1.2).

6. Your Content

Content you create in the app (session titles, display name, blocked-name lists, optional notes) remains your intellectual property. You grant us only a non-exclusive, geographically and temporally limited right — restricted to the purpose of the contract — to store that content and display it to the members of the same session. We will not use your content beyond this scope.

7. Availability and Beta Status

Namelli may currently be in a beta or test phase. Features, data and stability are subject to change; individual features may be temporarily unavailable. We strive for high availability but do not guarantee it as a continuous performance obligation.

8. Liability

We are fully liable for intentional misconduct and gross negligence, as well as under the German Product Liability Act and for injury to life, body or health. Otherwise, our liability is limited to breaches of material contractual obligations and capped at foreseeable, contract-typical losses. Liability for indirect damages, lost profits or data losses that could have been avoided by reasonable backup measures is excluded.

9. Termination

You may delete your account at any time without notice and without giving reasons ("Profile → Delete account"), which terminates the service contract. We may terminate the contract on 14 days' notice for any reason, or immediately for cause (in particular a breach of Section 5).

10. Changes to These Terms

We may update these Terms when required for legal, technical or business reasons. We will notify you of material changes at least 30 days before they take effect via the app. If you do not object within that period, the changes are deemed accepted; if you do object, you may terminate the contract before the changes come into force.

11. Dispute Resolution

The European Commission provides an online dispute resolution (ODR) platform: ec.europa.eu/consumers/odr. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

12. Governing Law and Jurisdiction

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Consumer users retain the benefit of any mandatory protective provisions of the law of their country of habitual residence, notwithstanding this choice of law. For disputes with consumers, jurisdiction lies at the consumer's place of residence; for disputes with merchants, the provider's registered place of business is the agreed place of jurisdiction.

13. Severability

If any provision of these Terms is or becomes invalid, the validity of the remaining provisions is unaffected. The invalid provision shall be replaced by the applicable statutory rule.

14. Right of Withdrawal

As the service is provided digitally and performance begins immediately upon sign-up with your explicit consent, the statutory right of withdrawal (Widerrufsrecht) is extinguished at the moment the service commences, in accordance with §356(5) BGB. You may still terminate the contract at any time under Section 9 above.
